Terms of Service

We are ChapterSuite LLC ("ChapterSuite"). By accessing or using our website and services, you agree to and are bound by these Terms of Service ("Terms"). Please read them carefully.

1. Use of Service​

You must be at least 13 years old to use ChapterSuite. You agree to use our services only for lawful purposes and in accordance with these Terms.

2. Account Registration​

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account.

3. Club Management​

You may create and manage clubs using ChapterSuite. You are responsible for the content and management of your clubs, including compliance with applicable laws and regulations.

4. Payments and Subscriptions​

ChapterSuite uses Stripe to process payments for club subscriptions. By subscribing, you agree to pay the applicable fees and authorize us to charge your payment method. Subscription terms, renewal, and cancellation policies are described on our pricing page and during checkout.

Stripe: All payments and subscriptions are processed through Stripe. By making a payment or subscribing, you also agree to Stripe's Terms of Service.

5. Prohibited Conduct​

You agree not to misuse ChapterSuite, including but not limited to:

  • Violating any applicable law or regulation.
  • Infringing the intellectual property or rights of others.
  • Uploading malicious code or attempting to disrupt our services.
  • Harassing, abusing, or harming other users.

6. Termination​

We reserve the right to suspend or terminate your access to ChapterSuite at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or us.

7. Intellectual Property​

All content, trademarks, and intellectual property on ChapterSuite are owned by us or our licensors. You may not use our branding or content without permission.

8. Disclaimer of Warranties​

ChapterSuite is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the service will be uninterrupted or error-free.

9. Limitation of Liability​

To the fullest extent permitted by law, ChapterSuite LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

10. Changes to Terms​

We may update these Terms from time to time. We will notify you of any changes via your email on file and by updating the date at the top of this page. Continued use of the service after changes constitutes acceptance of the new Terms.

12. Data Protection and Privacy​

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using ChapterSuite, you consent to the collection and use of your information as described in our Privacy Policy.

GDPR & CCPA Compliance: If you are located in the European Union or California, you have additional rights regarding your personal data as described in our Privacy Policy.

13. Service Availability​

While we strive to provide continuous service, ChapterSuite may experience downtime for maintenance, updates, or due to circumstances beyond our control. We do not guarantee 100% uptime and are not liable for any disruptions to service.

Scheduled Maintenance: We will attempt to provide advance notice of planned maintenance through our status page.

14. User Content and Data Ownership​

You retain ownership of all content you upload or create using ChapterSuite ("User Content"). By using our service, you grant us a limited, non-exclusive license to use, store, and process your User Content solely to provide and improve our services.

Data Export: You may export your data at any time through your account settings. Upon termination, you have 30 days to export your data before it may be permanently deleted.

Content Standards: You are responsible for ensuring your User Content complies with applicable laws and does not infringe on third-party rights.

15. Refunds and Cancellations​

Subscription Cancellation: You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period.

Refund Policy: We have a separate Refund Policy which you are bound to.

Pro-rated Credits: If you upgrade your plan mid-cycle, you will receive pro-rated credit for the remainder of your billing period.

16. API Usage and Third-Party Integrations​

API access is private and is not documented. If you use our API or integrate with third-party services, please note:

  • We may modify or discontinue API features without notice.
  • Third-party integrations are subject to their own terms of service.

17. Governing Law and Dispute Resolution​

These Terms are governed by the laws of Georgia, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of ChapterSuite will be resolved through binding arbitration in Georgia, except for claims seeking injunctive relief.

Class Action Waiver: You agree that any disputes will be resolved individually and not as part of a class action or collective proceeding.

Minimum Age: You must be at least 13 years old to use ChapterSuite. Users between 13-17 years old must have parental or guardian consent.

Educational Use: For school-sponsored clubs with members under 18, the supervising teacher or administrator is responsible for ensuring compliance with applicable educational privacy laws (such as COPPA and FERPA).

19. Security and Data Breach Notification​

We implement industry-standard security measures to protect your data. However, no system is completely secure. In the event of a data breach that may affect your personal information, we will notify affected users within 72 hours via email and through our platform.

Security Best Practices: You are responsible for maintaining the security of your account credentials and should use strong, unique passwords.

20. Accessibility​

ChapterSuite strives to be accessible to users with disabilities. We aim to comply with Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards. If you encounter accessibility barriers, please contact us at support@chaptersuite.com.

21. Force Majeure​

We are not liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, or government actions.

22. Educational Institution Use​

FERPA Compliance: For educational institutions, we comply with the Family Educational Rights and Privacy Act (FERPA) when handling student records.

District Agreements: Educational institutions may require additional terms through a separate Data Processing Agreement (DPA) or Student Data Privacy Agreement.

23. Export Controls​

ChapterSuite and its technology may be subject to export controls under U.S. law. You agree to comply with all applicable export and import laws and regulations.

24. Severability​

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

25. Entire Agreement​

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ChapterSuite regarding your use of our services and supersede all prior agreements.

26. Survival​

The following sections will survive termination of these Terms: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive.
